Zofton will review with you your business’ historical performance and discuss your personal and business goals with regard to the sale of the business. Once we understand both the performance of the business, including any special circumstances that are specific to your particular business and personal goals, Zofton will present you with a plan to reach those goals. Once we have agreed on that plan, we will present for your consideration a contract that defines the details of our arrangement with you. When the contract has been executed by you and Zofton we will move to the next step.
Zofton will assess your current and historical financial information in detail including certain key performance indicators relative to your industry. This information will be assessed against comparable industry information and market drivers to ensure that your personal and business goals are achieved in a financial transaction.
Zofton will develop a financial and informational business data package for distribution to potential buyers using the financial and other information you supply.
Zofton will develop a list of potential buyers that will be screened for appropriateness including financial viability as well as ability to timely execute a purchase. We will provide that initial list for your review and approval before any specific business information is released. Once your approval is submitted for one or more potential buyers Zofton will obtain an appropriate Non-Disclosure Agreement (NDA) with the potential buyer(s). Upon receipt of executed NDA Zofton will distribute the business data package and answer any questions or concerns a potential buyer or buyers may have. Zofton will then solicit and obtain Letters of Intent (LOI) from all potential buyers.
Zofton will assist you in selecting the best qualified buyer that most closely meets your overall personal and business goals, but you will ultimately pick the buyer of your choice We will also assist you with any negotiations concerning the LOI.
Zofton will assist you in developing additional information that a potential buyer may request and will act as a conduit to ensure a smooth transition of data and information. We will coordinate any site visits and telephonic meetings that need to occur during the due diligence period.
While Zofton will not provide legal services to you, Zofton will assist you and your legal team with the negotiation of a purchase agreement and may, at your discretion, participate in the closing. Zofton will be available to you for any follow up matters after the closing.
